1. Acceptance of Terms

Welcome to kayn.ai (the "Site"), owned and operated by KayN AI, Corp ("KayN," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our Site and its content, features, and services (collectively, the "Services").

By accessing or using our Site, you agree to be bound by these Terms and our Privacy Policy and incorporated herein by reference). If you do not agree to all of these Terms, do not access or use the Site.

Important Note: These Terms apply only to your use of our public marketing Site (kayn.ai). If you subscribe to or use KayN AI, Corp's SaaS products or services, your use of those products or services will be governed by a separate agreement (e.g., a Master Services Agreement, Customer Agreement, or SaaS Subscription Agreement).

2. Description of Services

The Site provides information about KayN AI, Corp's products and services, primarily focused on AI-powered SaaS solutions for healthcare revenue cycle automation. The Site also allows users to request demonstrations or contact us for more information, which may involve being redirected to third-party services like Calendly for scheduling.

3. Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, the "Content") is the property of KayN AI, Corp or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

KayN grants you a limited, revocable, non-exclusive, non-transferable license to access and make personal, non-commercial use of the Site and its Content. This license does not include any right to: (a) resell or commercially use the Site or its Content; (b) collect and use any product listings, descriptions, or prices; (c) make any derivative use of the Site or its Content; (d) download or copy account information for the benefit of another merchant; or (e) use any data mining, robots, or similar data gathering and extraction tools.

The trademarks, logos, and service marks displayed on the Site (collectively, the "Trademarks") are the registered and unregistered marks of KayN AI, Corp, its affiliates, or third parties. Nothing contained on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark without the express written permission of KayN AI, Corp or the third-party owner.

4. User Conduct and Permitted Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm KayN or users of the Site or expose them to liability.
  • Use the Site in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Site.
  • Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
  • Otherwise attempt to interfere with the proper working of the Site.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that KayN shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

6. Disclaimers of Warranties

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE), AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED BY KAYN ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. KAYN MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITE, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE), OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE, UNLESS OTHERWISE SPECIFIED IN WRITING. KAYN DOES NOT WARRANT THAT THE SITE, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE), OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE, KAYN'S SERVERS, OR ELECTRONIC COMMUNICATIONS SENT FROM KAYN ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

IN NO EVENT SHALL KAYN AI, CORP'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT OF ONE HUNDRED U.S. DOLLARS ($100.00).

8. Indemnification

You agree to defend, indemnify, and hold harmless KayN AI, Corp, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any use of the Site's content, services, and products other than as expressly authorized in these Terms.

9. Changes to Terms of Service

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide notice prior to any new terms taking effect, which may include posting an updated version on this Site. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms. We will indicate at the top of these Terms the date they were last updated.

10. Termination

We may terminate or suspend your access to all or part of the Site, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of, or related to them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of Delaware, United States, without giving effect to any choice or conflict of law provision or rule.

(Note: You may choose to change "State of Delaware" to "State of Washington" if preferred, given it's your primary operating location. Delaware is common for incorporation.)

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware (or Washington, if you change the governing law). You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

13. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and KayN AI, Corp regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
